SERVICE AGREEMENT
Made on this 14th August 2023, between Cregis Technology Limited, a Hong Kong Cryptocurrency service provider company (the "Provider") at Room 401-404, Block 3 ,100 Cyberport Rd, Telegraph Bay, and ABC company, an OTC(the "Client"), at abcd, Tong Chun Street, Tsueng Kwan O, N.T.
Whereas:
The Client seeks to integrate the Anychain SDK into their iOS/Android application and has chosen to engage the Provider for this purpose. The Client agrees to pay the Provider a lump-sum fee for the entire duration of the Contract Period. The Provider, in return, commits to offer comprehensive technical support, ensuring smooth operation throughout this period.
IT IS HEREBY AGREED AS FOLLOWS:
Definitions:
(a) “The Integration”: Refers to the process of developing, deploying, and ensuring optimal functionality of the Anychain SDK on specific applications.
(b) “Services”: This encompasses the complete SDK integration service, including migration planning, training, providing development integration documentation, code customization, a 1-year Long-Term Support (LTS), and all required ongoing support.
The Contract Period runs for 12 months from 18 September 2023 to 17 September 2024 inclusive and thereafter, shall continue from month to month until terminated by either party by giving not less than 1 month’s written notice to the other or payment in lieu of notice.
For the integration and services rendered by the Provider as required by this Agreement, the Client shall pay to the Provider a fee as set forth in quotation attached hereto.
The Provider agrees, in consideration of being granted access to the System containing the Client's proprietary information (Client Information) during the provision of Services: a. Not to use the Client Information for any purpose other than fulfilling the terms of the Services,
b. Not to disclose Client Information to anyone other than Provider's employees directly involved in the provision of Services to the Client; and
c. To implement reasonable security measures and exercise diligence to safeguard and protect the Client Information from unauthorized disclosure or misuse.
This Agreement contains the entire agreement of the parties and supersedes any and all prior agreements, written or oral, between Client and Provider relating to the subject matter of this Agreement. This Agreement may not be amended unless agreed to in writing by both parties.
This Agreement shall be governed by the laws of Hong Kong.
